TERMS AND CONDITIONS

In these terms and conditions the term ‘Techhappy’, ‘us’, or ‘our’ refers to Techhappy Limited. The term ‘you’ refers to the viewer or user of Techhappy’s website and services.

By using our website or any of our services, you accept and agree to be bound by the following terms and conditions and our privacy policy. If you disagree with any part of these terms and conditions, please do not use our website or services.

We reserve the right to review and amend our terms and conditions from time to time without prior notice. The amendments will be effective once posted on our website and your continued use of our website and services shall constitute your acceptance of those amendments. You accept responsibility for regularly reviewing the terms and conditions posted on our website.

Our fees are calculated on an hourly basis unless otherwise agreed with you in writing. Our standard hourly rate is $165.00 per hour (Excluding GST). We may, at our discretion, charge a reduced hourly rate of $70.00 per hour (excluding GST) for simple, non-technical (for example, administrative) assistance.

In providing services to you, we may incur disbursements or have to make payments to third parties on your behalf. These will be included in our invoice to you when the expense is incurred. We may require an advance payment for the disbursements or expenses which we will be incurring on your behalf. You agree that you will remain liable for any transport costs that we have incurred in advance of travel to your location, even if you cancel our engagement.

We will, at our discretion, invoice you on an interim basis, or on completion of a particular matter, or at the termination of our engagement. We may also invoice you when we incur a significant expense. In the event that you do not pay our invoice by the due date, you agree that you will pay interest to us at the rate of 15% per annum from the due date for payment until payment in full is received by us. You also agree to pay any additional administration and/or debt collection costs (including legal costs) incurred recovering any outstanding invoices from you.

We may immediately terminate the agreement between us if:

  • you are in breach of these terms and conditions; or
  • we consider there is a threat to the safety of any of our staff or agents; or
  • your equipment contains any pornographic, obscene, offensive or illegal content or unlicensed or illegal software; or
  • you are insolvent, bankrupt, in liquidation, unable to pay your debts, or otherwise an unacceptable credit risk to us.

We will take reasonable care in providing services to you. We will not however be liable for any direct, indirect, incidental, consequential, special, exemplary or punitive damages, or any loss of profit, income or any intangible losses, or any claims, costs, expenses, or damage, whether in contract, tort (including negligence), equity or otherwise, incurred by you or any third party through the use of our website or services or for any modification, suspension, interruption or discontinuance of the services for any reason whatsoever.

You agree to indemnify and hold us and our employees and agents harmless from and against any breach by you of these terms and conditions and any claim or demand brought against us by any third party arising out of your use of our services and/or any content submitted, posted or transmitted through our services, including without limitation, all claims, actions, proceedings, losses, liabilities, damages, costs, expenses (including reasonable legal costs and expenses) howsoever suffered or incurred by us in consequence of your breach of these terms and conditions.

If any provision of these terms and conditions are deemed invalid, void, illegal or unenforceable, the validity, existence, legality and enforceability of the remaining provisions shall not be affected, prejudiced or impaired. No failure or delay on our part in exercising any power or right under these terms and conditions will operate as a waiver.

Our website and services are governed by the laws of New Zealand. Any matters or disputes connected with our website or services shall be governed by the laws of New Zealand and the New Zealand courts shall have exclusive jurisdiction to hear and determine all claims in connection with our website and its use and our services.

PRIVACY STATEMENT

Techhappy is committed to protecting your privacy. By accessing and using our website and/or services you consent to the collection, use, disclosure, storage and processing of your information in accordance with this Privacy Policy.

We may amend this Privacy Policy from time to time without prior notice and you agree to be bound by the amended Privacy Policy as posted on our website. The personal information you provide to us will only be used in relation to the services we provide to you, to communicate with you in relation to our services or to co-operate with any government, industry or regulatory authorities. We will not disclose your personal information unless you expressly authorise us to do so or where the disclosure relates to the purposes for it which it was collected.

You may request at any time to see your personal information that we hold or to correct or update it. We will securely store your personal information in New Zealand although you agree that it may be transferred outside of New Zealand in connection with our services.

We will only hold your personal information for as long as we are lawfully entitled to do so.

Cookies and Tracking

TechHappy enlists the services of Google and Facebook for analytics purposes. This helps us to advertise to people who would likely be interested in our services, and to find out basic demographic information about people that are interested in our services.

We use integrated services, Google Analytics Demographics and Interest Reporting and Remarketing that require Google Analytics to collect data via advertising cookies and identifiers. We also use Facebook Tools which may include cookies, web beacons, and other storage technologies to collect or receive information from our website and elsewhere on the internet.
